By accessing and using the Demo and the other components of this Site, you agree to these Terms. The version of the Capital Analytics Team Planner application (the “Application”) to which you will be given access is a simplified demonstration version (the “Demo”), the intent of which is to illustrate the potential capabilities and benefits of the Application in a simplified form and with a reduced set of parameters. It does not contain all of the parameters and elements that comprise the full production version of the Application (the “Full Version”), and does not require input of the types of factors and considerations necessary for use of the Full Version in an organizational setting. Accordingly, the outputs resulting from the use of the Demo are solely for illustration and example purposes, and neither such outputs nor the Demo itself should be used or in any way relied on for making team planning, production or other operational decisions, including, without limitation, with respect to team composition, staffing, planning, sourcing, production, design or engineering matters. The Full Version, and the services associated with it, require the identification, input and consideration of a multitude of additional factors, data and parameters not identified in or otherwise addressed by the Demo or its output. Further, your use of the Demo shall not form or constitute a consultant-client relationship between you and McKinsey, and shall not render you a client of McKinsey, and the outputs you may receive from the Demo shall not constitute professional advice.
All content and functionality on the Site, including the Application, the Demo, and any text, graphics, logos, icons, images, and videos and the selection and arrangement thereof, in addition to any concepts, know-how, tools, frameworks, software, applications or other technology, algorithms, models, processes, and industry perspectives underlying or embedded in any of the foregoing, along with any enhancements to or derivative works thereof (collectively, the “Site Content”) is the exclusive property of McKinsey and/or its licensors and, to the extent applicable, is protected by U.S. and international copyright laws and other applicable intellectual property laws. Neither the Site Content nor functionality of the Site may be copied, reproduced, redistributed, modified, reverse-engineered, altered (including the removal or disabling of any security or technological safeguards, disclaimers, or legends), published, uploaded, posted, transmitted, or distributed in any way without our written permission, except for those uses specified in Section 5 – Use of site content. All rights not expressly granted are reserved.
The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed on the Site are the registered and unregistered Trademarks of McKinsey and/or its licensors. You agree that, except as expressly permitted by us (e.g., through social media sharing tools provided on the Site) or by our licensors, where applicable, you will not refer to or attribute any information to McKinsey or its licensors in any public medium (e.g., press release, websites, or public social media) for advertising or promotion purposes, or for the purpose of informing or influencing any third party and that you will not use or reproduce any Trademark of, or imply any endorsement by or relationship with, McKinsey or its licensors.
In order to use the Demo, you must first register with us by creating an account and subsequently provide us with certain responses, data inputs and other information in connection with your use of the Demo (your “Demo Inputs”) which may be used to generate the Demo output. By doing so, we will store the fields you provide upon registration (the “Registration Information”), as well as your Demo Inputs. When you use sign-in and register to and access the Site, you give us express permission to store and use your Demo Inputs, and you agree that we may use your Registration Information to send you occasional information emails about McKinsey and Capital Analytics. You agree not to provide us with any confidential information or any other information which you are prohibited, by contract or otherwise, from disclosing to a third party.
McKinsey hereby grants you a limited, non-exclusive, non-transferable, revocable license for the term hereof to access and download, display, and print one copy of the Site Content on any single computer solely for your internal, business use, provided that you do not modify the Site Content in any way (including creating derivative works thereof), that you retain all copyright and other proprietary notices displayed on the Site Content, and that you otherwise comply with these Terms. You may not otherwise reproduce, modify, reverse engineer, distribute, transmit, post, or disclose the Site Content without McKinsey’s prior written consent. In addition, you may not “mirror” the Site Content or any portion thereof without McKinsey’s express written consent. Nothing on this Site should be construed as granting directly or indirectly, or by implication any license or right to use any McKinsey intellectual property other than as expressly set forth herein. The license granted in this section terminates automatically and immediately if you do not comply with these Terms.
THE CONTENT AND FUNCTIONALITY ON THE SITE, INCLUDING THE DEMO, IS PROVIDED WITH THE UNDERSTANDING THAT MCKINSEY IS NOT HEREIN ENGAGED IN RENDERING PROFESSIONAL ADVICE OR SERVICES TO YOU, NO SITE CONTENT IS INTENDED TO SERVE AS OR SHALL BE DEEMED INVESTMENT, LEGAL, TAX, ACCOUNTING OR OTHER REGULATED ADVICE, AND THAT YOU SHALL REMAIN SOLELY RESPONSIBLE FOR YOUR USE OF ALL SITE CONTENT AND ACKNOWLEDGE THAT ANY RELIANCE UPON THE SITE CONTENT SHALL BE ENTIRELY AT YOUR SOLE OPTION AND RISK. You hereby indemnify, defend, and hold harmless McKinsey and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives, and attorneys and their respective heirs, successors, and assigns (“McKinsey Indemnified Parties”) from and against any and all liability, expenses, costs, or other losses (“Losses”) incurred by McKinsey and/or McKinsey Indemnified Parties in connection to any claims arising out of your use of the Site and/or any breach by you of these Terms, including the representations, warranties and covenants you made, if any, by agreeing to these Term. McKinsey reserves the right to assume, at its own expense, the exclusive defense and control of any matter otherwise subject to indemnification by you.
We may provide links to third-party websites, and some of the content appearing to be on this Site is in fact supplied, supported, or provided directly or indirectly by third parties, for example, in instances of framing of third-party websites or incorporation through framesets of content supplied by third-party servers. McKinsey has no responsibility for these third-party websites, which are governed by the terms of use and privacy policies, if any, of the applicable third-party content providers.
In your use of this Demo, you agree to comply with applicable sanctions, export control, import control, and antiboycott laws (“Trade Control Laws”), including, but not limited to EU, UK, and U.S. laws, and you shall cause McKinsey to violate or to be penalized under such Trade Control Laws.
You confirm that you, your affiliates, and the organization you are associated with are not a Restricted Party (as defined below) and you, your affiliates, and the organization will use anything received from McKinsey or as part of this Demo in connection with a Restricted Party, Russia, the Government of Venezuela, or a comprehensively sanctioned jurisdiction under Trade Control Laws.
A Restricted Party is an individual or entity that (i) is identified on a restricted party list under Trade Control Laws, or is owned 50% or more by, controlled by, or acting on behalf of, such a person(s) or entity(ies), or (ii) is organized under the laws of, ordinarily resident in, or acting on behalf of a person or entity located in Russia or any comprehensively sanctioned jurisdiction under Trade Control Laws. You agree to promptly inform McKinsey in writing if you, your affiliates, and the organization becomes a Restricted Party.
You will not provide to McKinsey anything for which government authorization is required under Trade Control Laws.
These Terms are governed by the laws of the State of New York without reference to the principles of conflicts of laws thereof.
